INDEPENDENT PET SUPPLY POLICIES

COMPANY OVERVIEW

Independent Pet Supply is a distributor of natural pet foods, treats, and quality pet supplies. IPS reserves the right to modify its product offerings, services, and policies at any time.

APPLICATION AND ACCOUNT APPROVAL

All prospective accounts must submit the following documentation for review and approval:
•Completed Business Application
•Personal Guarantee
•Copy of Resale Certificate
•Payment Authorization
No account shall be activated until all required documentation is received and approved by IPS. IPS reserves the right to approve or deny any application in its sole discretion.

ORDERING TERMS

Orders must be received by IPS no later than 10:00 a.m. on the business day prior to the assigned delivery date. Orders received after this cutoff are not guaranteed for delivery.
IPS may, but is not obligated to, accommodate order changes or additions requested by 12:00 p.m. Late orders or special delivery accommodations may result in additional delivery or shipping charges billed to the Customer.
All orders must be placed using IPS item numbers as listed on the current price list.

Will Call Orders
Will Call orders must be placed by 10:00 a.m. on the business day prior to pick up and are subject to a $500 minimum order requirement. Pickup hours are as follows:
•Monday–Thursday: 9:00 a.m.–4:00 p.m.
•Friday: 9:00 a.m.–2:00 p.m.

PRICING AND PAYMENTS

All prices are subject to change without notice. Initial account terms require payment due at time of delivery, unless and until credit terms are approved by IPS in writing. A valid payment method must be maintained on file at all times.
Past Due Accounts
Any balance not paid in accordance with approved terms shall be subject to:
•A finance charge of 1.5% per month (18% annually) on past-due balances
•A $40 NSF fee for returned payments
Customer agrees to be responsible for all costs of collection, including but not limited to legal fees, court costs, and collection agency fees, to the fullest extent permitted by law.

SHIPPING AND DELIVERY

Each approved account shall be assigned a delivery route at the time of account setup. IPS reserves the right to modify delivery routes and schedules due to operational needs, holidays, or re-routing.
A $500 minimum order applies to deliveries within the Seattle and Portland Metro areas. Accounts located outside standard delivery routes will be serviced via common carrier and are subject to territory-specific minimum order requirements.

Orders that do not meet minimum requirements may be assessed either a $40 under-minimum delivery fee or charged up to the full cost of freight, at IPS’s discretion.

•Seattle/Portland Metro Areas: $23
•Eastern Washington & Washington Peninsula: $25
•LTL/Common Carrier Deliveries: Quote required

RETURNS AND CREDITS

Customer must report any damaged, mispicked, or incorrect items within twenty-four (24) hours of delivery to credits@independentpetsupply.com. Failure to report within this timeframe constitutes acceptance of the order as delivered.
Resalable merchandise may be returned within thirty (30) days of delivery only with prior approval from IPS and is subject to a minimum fifteen percent (15%) restocking fee.

No credit shall be issued for expired products or products within six (6) months of expiration. All approved credits will be applied to a future invoice. Credits may not be deducted from current invoices.

SAMPLES

Product samples are provided subject to availability and may be limited or discontinued at IPS’s discretion.

RIGHT TO REFUSE SERVICE

IPS reserves the right to refuse returns, credits, delivery, or service at any time. Fraudulent claims or misuse of credit policies may result in immediate termination of the Customer’s account and any associated agreements.

MODIFICATION OF TERMS

IPS reserves the right to amend these terms at any time. Continued ordering, acceptance of delivery, or maintenance of an active account constitutes acceptance of any revised terms.
